1. Acceptance of Terms
By accessing or using TandemPay's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.
2. Service Description
TandemPay provides payment processing services that convert card payments into stablecoin settlements delivered to merchant-controlled wallets. Settlement occurs through non-custodial smart contracts on supported blockchain networks.
3. Merchant Application
Merchants must apply and may be subject to an application review process (typically 1–2 business days). TandemPay reserves the right to approve or reject applications at its sole discretion.
Approved merchants must maintain accurate business information and comply with all applicable laws regarding payment processing and cryptocurrency transactions.
4. Fees and Payment
TandemPay charges the transaction and service fees specified in each merchant's agreement. Rates may vary based on business vertical, processing volume, and risk profile. Applicable fees are deducted before settlement to merchant wallets.
5. Non-Custodial Nature
TandemPay does not hold custody of merchant funds. All settlements are executed through smart contracts with hardcoded destination addresses provided by merchants. Merchants are solely responsible for securing their wallet private keys.
6. Chargebacks and Disputes
Card payments may be subject to chargebacks initiated by cardholders through their issuing banks. Merchants are responsible for maintaining records and responding to chargeback inquiries.

7. Prohibited Activities
Merchants agree not to use TandemPay services for:
- Illegal activities or prohibited goods and services
- Fraudulent or deceptive practices
- Money laundering or terrorist financing
- Activities violating our Acceptable Use Policy

8. Limitation of Liability
TandemPay provides services "as is" without warranties of any kind. We are not liable for losses resulting from blockchain network failures, smart contract vulnerabilities, merchant wallet compromises, or other factors outside our reasonable control.
9. Modifications to Terms
We reserve the right to modify these terms at any time. Merchants will be notified of material changes via email. Continued use of services after changes constitutes acceptance of modified terms.
